Welcome to MedicaExpo. These Terms and Conditions govern your use of our B2B medical supplements platform and services. By accessing or using our platform, you agree to be bound by these terms.

1. Definitions

• "Platform" refers to the MedicaExpo website and all related services
• "Client" refers to hospitals, pharmacies, clinics, and distributors using our services
• "Agent" refers to authorized MedicaExpo sales representatives
• "Products" refers to medical supplements and related items available on our platform
• "We," "Us," "Our" refers to MedicaExpo s.r.l.

2. Account Registration

2.1 Eligibility

To use our B2B platform, you must:

• Be a registered business entity (hospital, pharmacy, clinic, or distributor)
• Have the legal authority to enter into binding contracts
• Provide accurate and complete business information
• Be at least 18 years of age

2.2 Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access
• All activities under your account are your responsibility
• You agree to provide accurate and up-to-date information

3. Agent-Based Ordering System

3.1 Agent Assignment

Each client is assigned a dedicated MedicaExpo agent who will:

• Present product catalogs and provide product information
• Process orders on behalf of clients
• Provide customer support and account management
• Handle special requests and bulk orders

3.2 Order Process

• All orders must be placed through your assigned agent
• Orders are subject to product availability and credit approval
• Minimum order quantities may apply for certain products
• Order confirmations will be sent via email within 24 hours

4. Pricing and Payment

4.1 Pricing

• All prices are listed in Euros (€) unless otherwise stated
• Prices are exclusive of VAT and shipping costs
• We reserve the right to change prices without prior notice
• Special pricing and discounts are available for bulk orders

4.2 Payment Terms

• Payment terms will be agreed upon with your assigned agent
• Standard payment methods include bank transfer, credit card, and trade credit
• Late payments may incur additional fees
• We reserve the right to suspend services for non-payment

5. Shipping and Delivery

5.1 Shipping Policy

• We offer shipping throughout the European Union
• Standard delivery time is 48 hours within the EU
• Shipping costs are calculated based on order size and destination
• Express delivery options are available upon request

5.2 Risk of Loss

Risk of loss and title for products pass to you upon delivery to the carrier.

6. Returns and Refunds

6.1 Return Policy

• Products may be returned within 30 days of delivery
• Items must be unopened, unused, and in original packaging
• Certain products (temperature-sensitive items) are non-returnable
• Return authorization must be obtained from your agent

6.2 Refund Process

• Refunds will be processed within 14 days of receiving returned items
• Original shipping costs are non-refundable
• Return shipping costs are the responsibility of the client unless the return is due to our error

7. Product Information and Warranties

7.1 Product Accuracy

We strive to provide accurate product information, but we do not warrant that:

• Product descriptions are error-free, complete, or current
• Product images accurately represent the actual product
• Products will be available at all times

7.2 Quality Assurance

• All products are sourced from certified manufacturers

• Each product comes with manufacturer's warranty (where applicable)

8. Intellectual Property

All content on our platform, including but not limited to:

• Text, graphics, logos, and images
• Software and code
• Product descriptions and specifications
• Trademarks and brand names

are the property of MedicaExpo or our licensors and are protected by intellectual property laws.

9. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid for the products in question
• We are not liable for delays or failures due to circumstances beyond our control

10. Indemnification

You agree to indemnify and hold harmless MedicaExpo, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the platform
• Your violation of these Terms and Conditions
• Your violation of any third-party rights

11. Privacy and Data Protection

Your use of our platform is also governed by our Privacy Policy. We are committed to protecting your personal information in accordance with GDPR and other applicable data protection laws.

12. Termination

We reserve the right to:

• Suspend or terminate your account for violation of these terms
• Refuse service to anyone for any reason
• Modify or discontinue the platform without notice

13. Governing Law

These Terms and Conditions are governed by the laws of Italy. Any disputes shall be resolved in the courts of Italy.
